Abstract: In the present paper， the background of the rural lands cooperative shareholding system development in Jiangsu and Zhejiang was briefly introduced as well as limitations of related studies. Then， the development status， main approaches， performances and associated problems of Wenling and Suzhou model were refined. It was found that there were noticeable differences in terms of operation types， key elements of being a shareholder， stock equity management; while there were also similarities in terms of formative motivations， basic practices， practical effects. According to the implementation status of the rural lands cooperative shareholding system， development countermeasures were proposed such as establishing linkage mechanisms between Jiangsu and Zhejiang， bolstering co\|development between rural cooperative economic organizations, strengthening internal governance structures， developing counselor training courses of rural lands cooperatives, and specializing regulations for the rural lands cooperatives.
